What the Law Requires
Under the Euro Introduction Act, every company must, by 31 December 2026:
- adopt updated constitutional documents (Articles of Association, Memorandum of Association, or Articles of Incorporation) stating its share capital and ownership interests (or the nominal value of shares) in euro;
- convert the ownership interests of the shareholders or members while preserving their proportional ownership;
- file a certified copy of the updated constitutional document with the Commercial Register, either separately or together with the next application for registration, deregistration, or publication.
Why It Is Not as Simple as It Sounds
In practice, currency conversion often creates rounding differences—the total nominal value of the ownership interests may no longer equal the converted share capital, which can lead the Registry Agency to reject the filing. Although the law allows a simplified procedure for adjusting the share capital by up to 5%, choosing the appropriate approach (adjusting the nominal value of the ownership interests, rounding the share capital up, or rounding it down) requires careful calculations and properly prepared documents. Leaving the process until the last minute increases the risk of delays and requests for corrections from the Commercial Register.
Our Solution: A Complete Service for €100
The Clarum team will handle the entire process on your behalf:
- Analysis and calculations — conversion of the share capital and ownership interests in accordance with the statutory rounding rules while preserving the ownership proportions;
- Preparation of documents — updated Articles of Association, Memorandum of Association, or Articles of Incorporation, together with the necessary resolutions and minutes of the shareholders or sole owner;
- Filing with the Commercial Register — preparation and submission of the application and monitoring the procedure until the filing is successfully completed.
Fixed fee: €100 — no hidden charges. Filings made in connection with the introduction of the euro are exempt from government filing fees, so this is the total price you will pay.
Don’t Wait Until the End of the Year
The statutory deadline is 31 December 2026, but we recommend completing the process well in advance. If the Commercial Register issues any instructions or requests for corrections, you will have sufficient time to respond. Moreover, if you are planning any other corporate changes, they can be combined into a single filing.
